  1  1    Amend House File 2235 as follows:
  1  2    #1.  Page 10, by inserting after line 14 the
  1  3 following:
  1  4    "Sec.    .  NEW SECTION.  523H.10A  UNFAIR AND
  1  5 DECEPTIVE ACTS.
  1  6    In connection with the grant of a franchise,
  1  7 subsequent performance and termination, it is unlawful
  1  8 for the franchisor to engage in any unfair or
  1  9 deceptive act or practice including, but not limited
  1 10 to, the following:
  1 11    1.  Employing a device, scheme, or artifice to
  1 12 defraud.
  1 13    2.  Making an untrue statement of material fact or
  1 14 omitting to state a material fact necessary in order
  1 15 to make the statements made, in the light of the
  1 16 circumstances under which they are made, not
  1 17 misleading.
  1 18    3.  Engaging in an act, practice, or course of
  1 19 business which operates or would operate as a fraud,
  1 20 deceit, forfeiture, or unconscionable conduct.
  1 21    4.  Omitting to state a material fact or make or
  1 22 cause to be made an untrue statement of a material
  1 23 fact in any registration or prospectus required under
  1 24 federal or state law or regulation and presented to a
  1 25 prospective franchisee.
  1 26    5.  Making a false or misleading statement of
  1 27 material fact or omitting to state a material fact in
  1 28 a registration application required to be stated or
  1 29 necessary to make a required statement not misleading.
  1 30    6.  Employing illegal or deceptive activities in
  1 31 the operation of the franchisor's enterprise or method
  1 32 of business."
