  1  1    Section 1.  NEW SECTION.  521G.1  SHORT TITLE.
  1  2    This chapter shall be known and may be cited as the
  1  3 "Protected Cell Company Act".
  1  4    Sec. 2.  NEW SECTION.  521G.2  PURPOSE.
  1  5    The purpose of this chapter is to authorize the
  1  6 establishment of protected cells by a domestic insurer
  1  7 authorized to transact the business of insurance under chapter
  1  8 515 as a means of accessing alternative sources of capital and
  1  9 achieving the benefits of insurance securitization.  Investors
  1 10 in fully funded insurance securitization transactions provide
  1 11 funds that are available to pay the insurer's insurance
  1 12 obligations or to repay the investors, or both.  Protected
  1 13 cells are intended to achieve more efficiencies with respect
  1 14 to such insurance securitization.
  1 15    Sec. 3.  NEW SECTION.  521G.3  DEFINITIONS.
  1 16    For purposes of this chapter, unless the context otherwise
  1 17 requires:
  1 18    1.  "Domestic insurer" means an insurer domiciled in this
  1 19 state and organized under chapter 515.
  1 20    2.  "Fair value" of an asset or liability means the amount
  1 21 at which that asset or liability could be bought or incurred,
  1 22 or sold or settled, in a current transaction between willing
  1 23 parties, other than in a forced or liquidation sale, and as
  1 24 determined under section 521G.4.
  1 25    3.  "Fully funded" means, with respect to any exposure
  1 26 attributed to a protected cell, that the fair value of the
  1 27 protected cell assets, on the date on which the insurance
  1 28 securitization is effected, equals or exceeds the maximum
  1 29 possible exposure attributable to the protected cell with
  1 30 respect to such exposures.
  1 31    4.  "General account" means the assets and liabilities of a
  1 32 protected cell company other than protected cell assets and
  1 33 protected cell liabilities.
  1 34    5.  "Indemnity trigger" means a transaction term by which
  1 35 relief of the issuer's obligation to repay investors is
  2  1 triggered by its incurring a specified level of losses under
  2  2 its insurance or reinsurance contracts.
  2  3    6.  "Nonindemnity trigger" means a transaction term by
  2  4 which relief of the issuer's obligation to repay investors is
  2  5 triggered solely by some event or condition other than the
  2  6 individual protected cell company incurring a specified level
  2  7 of losses under its insurance or reinsurance contracts.
  2  8    7.  "Protected cell" means an identified pool of assets and
  2  9 liabilities of a protected cell company segregated and
  2 10 insulated as provided under this chapter from the remainder of
  2 11 the protected cell company's assets and liabilities.
  2 12    8.  "Protected cell account" means a specifically
  2 13 identified bank or custodial account established by a
  2 14 protected cell company for the purpose of segregating the
  2 15 protected cell assets of one protected cell from the protected
  2 16 cell assets of other protected cells and from the assets of
  2 17 the protected cell company's general account.
  2 18    9.  "Protected cell assets" means all assets, contract
  2 19 rights, and general intangibles, identified with and
  2 20 attributable to a specific protected cell of a protected cell
  2 21 company.
  2 22    10.  "Protected cell company" means a domestic insurer that
  2 23 has one or more protected cells.
  2 24    11.  "Protected cell company insurance securitization"
  2 25 means the issuance of a debt instrument, the proceeds from
  2 26 which support the exposures attributed to a protected cell, by
  2 27 a protected cell company where repayment of principal or
  2 28 interest, or both, to investors pursuant to the transaction
  2 29 terms is contingent upon the occurrence or nonoccurrence of an
  2 30 event with respect to which the protected cell company is
  2 31 exposed to loss under insurance or reinsurance contracts which
  2 32 the protected cell company has issued.
  2 33    12.  "Protected cell liabilities" means all liabilities and
  2 34 other obligations identified with and attributable to a
  2 35 specific protected cell of a protected cell company.
  3  1    Sec. 4.  NEW SECTION.  521G.4  DETERMINATION OF FAIR VALUE.
  3  2    A quoted market price in an active market is deemed to be
  3  3 the best evidence of fair value of an asset and shall be used
  3  4 as the basis for the measurement of fair value, if available.
  3  5 If a quoted market price is available, the fair value is the
  3  6 product of the number of trading units times the quoted market
  3  7 price.  If a quoted market price is not available, the
  3  8 estimate of fair value shall be based on the best information
  3  9 available.  The estimate of fair value shall consider the
  3 10 price for similar assets and liabilities and the results of a
  3 11 valuation technique to the extent available in the
  3 12 circumstances.  For purposes of this section, "valuation
  3 13 technique" includes, but is not limited to, the present value
  3 14 of estimated expected future cash flows using a discount rate
  3 15 commensurate with the risks involved, option-pricing models,
  3 16 matrix pricing, option-adjusted spread models, and fundamental
  3 17 analysis.  A valuation technique for measuring financial
  3 18 assets and liabilities and servicing assets and liabilities
  3 19 shall be consistent with the objective of measuring fair
  3 20 value.  A valuation technique shall incorporate assumptions
  3 21 that a market participant would use in estimating value,
  3 22 future revenue, and future expenses, including assumptions
  3 23 about interest rates, default, prepayment, and volatility.  In
  3 24 measuring financial liabilities and servicing liabilities at
  3 25 fair value by discounting estimated future cash flows,
  3 26 discount rates shall be used at which those liabilities could
  3 27 be settled in an open and competitive transaction.  An
  3 28 estimate of expected future cash flow, if used to estimate
  3 29 fair value, shall be the best estimate based on reasonable and
  3 30 supportable assumptions and projections.  All available
  3 31 evidence shall be considered in developing an estimate of
  3 32 expected future cash flow.  The weight given to the evidence
  3 33 shall be commensurate with the extent to which the evidence
  3 34 can be verified objectively.  If a range is estimated for
  3 35 either the amount or timing of possible cash flows, the
  4  1 likelihood of possible outcomes shall be considered in
  4  2 determining the best estimate of such future cash flows.
  4  3    Sec. 5.  NEW SECTION.  521G.5  ESTABLISHMENT OF PROTECTED
  4  4 CELLS.
  4  5    1.  A protected cell company may establish one or more
  4  6 protected cells with the prior written approval of the
  4  7 commissioner of a plan of operation or amendments to such plan
  4  8 submitted by the protected cell company with respect to each
  4  9 protected cell related to an insurance securitization.  The
  4 10 plan shall include, but not be limited to, the specific
  4 11 business objectives and investment guidelines of the protected
  4 12 cell company.  Upon the written approval of the commissioner
  4 13 of the plan of operation, the protected cell company,
  4 14 consistent with the approved plan of operation, may attribute
  4 15 to the protected cell insurance obligations with respect to
  4 16 its insurance business and obligations relating to the
  4 17 insurance securitization and assets to fund the obligations.
  4 18 A protected cell shall have its own distinct name or
  4 19 designation, which shall include the words "protected cell".
  4 20 The protected cell company shall transfer all assets
  4 21 attributable to a protected cell to one or more separately
  4 22 established and identified protected cell accounts bearing the
  4 23 name or designation of that protected cell.  Protected cell
  4 24 assets shall be held in the protected cell accounts for the
  4 25 purpose of satisfying the obligations of that protected cell.
  4 26    2.  Attribution of assets and liabilities between a
  4 27 protected cell and the general account shall be pursuant to
  4 28 the plan of operation.  Other attribution of assets or
  4 29 liabilities shall not be made by a protected cell company
  4 30 between the protected cell company's general account and its
  4 31 protected cells.  The attribution of assets and liabilities
  4 32 between the general account and a protected cell, or from
  4 33 investors in the form of principal on a debt instrument issued
  4 34 by a protected cell company in connection with a protected
  4 35 cell company insurance securitization transaction, shall be in
  5  1 cash or in readily marketable securities with established
  5  2 market values.
  5  3    3.  The creation of a protected cell does not create, with
  5  4 respect to that protected cell, a legal person separate from
  5  5 the protected cell company.  An amount attributed to a
  5  6 protected cell under this chapter, including assets
  5  7 transferred to a protected cell account, is owned by the
  5  8 protected cell company and the protected cell company shall
  5  9 not be, or hold itself out to be, a trustee with respect to
  5 10 those protected cell assets of that protected cell account.
  5 11 Notwithstanding this subsection, a protected cell company may
  5 12 permit a security interest to attach to protected cell assets
  5 13 or a protected cell account which is in favor of a creditor of
  5 14 the protected cell company and otherwise allowed under
  5 15 applicable law.
  5 16    4.  This chapter shall not be construed to prohibit the
  5 17 protected cell company from contracting with or arranging for
  5 18 an investment advisor, commodity trading advisor, or other
  5 19 third party to manage the protected cell assets of a protected
  5 20 cell, provided that all remuneration, expenses, and other
  5 21 compensation of the third-party advisor or manager are payable
  5 22 from the protected cell assets of that protected cell and not
  5 23 from the protected cell assets of other protected cells or the
  5 24 assets of the protected cell company's general account.
  5 25    5.  a.  A protected cell company shall establish
  5 26 administrative and accounting procedures necessary to properly
  5 27 identify the protected cells of the protected cell company and
  5 28 the protected cell assets and protected cell liabilities
  5 29 attributable to the protected cells.  The board of directors
  5 30 of a protected cell company shall do both of the following:
  5 31    (1)  Keep protected cell assets and protected cell
  5 32 liabilities separate and separately identifiable from the
  5 33 assets and liabilities of the protected cell company's general
  5 34 account.
  5 35    (2)  Keep protected cell assets and protected cell
  6  1 liabilities attributable to one protected cell separate and
  6  2 separately identifiable from protected cell assets and
  6  3 protected cell liabilities attributable to other protected
  6  4 cells.
  6  5    b.  Tracing shall be applicable to protected cell assets
  6  6 when commingled with protected cell assets of other protected
  6  7 cells or the assets of the protected cell company's general
  6  8 account.  The remedy of tracing shall not be construed as an
  6  9 exclusive remedy.
  6 10    6.  A protected cell company, when establishing a protected
  6 11 cell, shall attribute to the protected cell assets a value at
  6 12 least equal to the reserves and other insurance liabilities
  6 13 attributed to that protected cell.
  6 14    Sec. 6.  NEW SECTION.  521G.6  USE AND OPERATION OF
  6 15 PROTECTED CELLS.
  6 16    1.  The protected cell assets of a protected cell shall not
  6 17 be charged with liabilities arising out of any other business
  6 18 the protected cell company may conduct.  A contract or other
  6 19 documentation reflecting protected cell liabilities shall
  6 20 clearly indicate that only the protected cell assets of a
  6 21 protected cell are available for the satisfaction of the
  6 22 protected cell liabilities attributed to that same protected
  6 23 cell.
  6 24    2.  The income, gains, and losses, realized or unrealized,
  6 25 from protected cell assets and protected cell liabilities
  6 26 shall be credited to or charged against the protected cell
  6 27 without regard to other income, gains, or losses of the
  6 28 protected cell company, including income, gains, or losses of
  6 29 another protected cell.  An amount attributed to a protected
  6 30 cell and accumulations on the attributed amount may be
  6 31 invested and reinvested without regard to the requirements and
  6 32 limitations of section 515.35, and the investments in a
  6 33 protected cell shall not be taken into account in applying the
  6 34 investment limitations otherwise applicable to the investments
  6 35 of the protected cell company.
  7  1    3.  Assets and liabilities attributed to a protected cell
  7  2 shall be valued at their fair value on the date of valuation.
  7  3    4.  a.  A protected cell company, with respect to its
  7  4 protected cells, shall engage in fully funded indemnity
  7  5 triggered insurance securitization to support in full the
  7  6 protected cell exposures attributable to that protected cell.
  7  7 A protected cell company insurance securitization that is
  7  8 nonindemnity triggered qualifies as an insurance
  7  9 securitization under this chapter only after the commissioner
  7 10 adopts rules providing for all of the following:
  7 11    (1)  The methods of funding of the portion of the risk that
  7 12 is not indemnity based.
  7 13    (2)  Accounting requirements.
  7 14    (3)  Disclosure requirements.
  7 15    (4)  Risk-based capital treatment.
  7 16    (5)  Assessment of risks associated with such
  7 17 securitizations.
  7 18    b.  A protected cell company insurance securitization that
  7 19 is not fully funded, whether indemnity triggered or
  7 20 nonindemnity triggered, is prohibited.  Protected cell assets
  7 21 may be used to pay interest or other consideration on an
  7 22 outstanding debt or other obligation attributable to that
  7 23 protected cell.  This subsection shall not be construed or
  7 24 interpreted to prevent a protected cell company from entering
  7 25 into a swap agreement or other transaction for the account of
  7 26 the protected cell that has the effect of guaranteeing
  7 27 interest or other consideration.
  7 28    5.  In a protected cell company insurance securitization, a
  7 29 contract or other documentation effecting the transaction
  7 30 shall contain provisions identifying the protected cell to
  7 31 which the transaction is attributed.  In addition, the
  7 32 contract or other documentation shall clearly disclose that
  7 33 the assets of the protected cell, and only those assets, are
  7 34 available to pay the obligations of that protected cell.
  7 35 Notwithstanding this subsection, the failure to include such
  8  1 language in a contract or other documentation shall not be
  8  2 used as the sole basis by a creditor, reinsurer, or other
  8  3 claimant to circumvent this chapter.
  8  4    6.  A protected cell company shall only attribute to a
  8  5 protected cell account the insurance obligations relating to
  8  6 the protected cell company's general account.  A protected
  8  7 cell company shall not issue an insurance or reinsurance
  8  8 contract directly to a policyholder or reinsured, and shall
  8  9 not have an obligation to a policyholder or reinsured of the
  8 10 protected cell company's general account.
  8 11    7.  At the cessation of business of a protected cell
  8 12 pursuant to the plan approved by the commissioner, the
  8 13 protected cell company shall close the protected cell account.
  8 14    Sec. 7.  NEW SECTION.  521G.7  CREDITORS AND OTHER
  8 15 CLAIMANTS OF PROTECTED CELLS.
  8 16    1.  a.  Protected cell assets shall only be available to a
  8 17 creditor of the protected cell company that is a creditor with
  8 18 respect to that protected cell.  Such a creditor shall have
  8 19 recourse to the protected cell assets attributable to that
  8 20 protected cell, to the exclusion of other creditors of the
  8 21 protected cell company that are not creditors with respect to
  8 22 that protected cell.  Such other creditors shall have no
  8 23 recourse to the protected cell assets attributable to that
  8 24 protected cell.  A creditor with respect to a protected cell
  8 25 does not have recourse against the protected cell assets of
  8 26 other protected cells or the assets of the protected cell
  8 27 company's general account.
  8 28    b.  Protected cell assets shall only be available to
  8 29 creditors of a protected cell company after all protected cell
  8 30 liabilities have been extinguished or otherwise provided for
  8 31 pursuant to the plan of operation relating to that protected
  8 32 cell.
  8 33    2.  An obligation of a protected cell company to a person
  8 34 which arises from a transaction, or is otherwise imposed, with
  8 35 respect to a protected cell, is subject to both of the
  9  1 following:
  9  2    a.  The obligation to a person shall extend only to the
  9  3 protected cell assets attributable to that protected cell, and
  9  4 with respect to that obligation, such person is entitled to
  9  5 recourse only against the protected cell assets attributable
  9  6 to that protected cell.
  9  7    b.  The obligation to a person shall not extend to the
  9  8 protected cell assets of another protected cell or the assets
  9  9 of the protected cell company's general account, and with
  9 10 respect to that obligation, such person is not entitled to
  9 11 recourse against the protected cell assets of any other
  9 12 protected cell or the assets of the protected cell company's
  9 13 general account.
  9 14    3.  An obligation of a protected cell company that relates
  9 15 solely to the general account shall extend only to the assets
  9 16 of the protected cell company's general account, and the
  9 17 creditor, with respect to that obligation, is entitled to
  9 18 recourse against only the assets of the protected cell
  9 19 company's general account.
  9 20    4.  A protected cell is not subject to any requirements
  9 21 relating to a guaranty fund or guaranty association, and shall
  9 22 not be assessed by or otherwise be required to contribute to
  9 23 any guaranty fund or guaranty association in this state with
  9 24 respect to the activities, assets, or obligations of a
  9 25 protected cell.  This section does not affect the activities
  9 26 or obligations of a protected cell company's general account.
  9 27    5.  The establishment of one or more protected cells, by
  9 28 itself, does not constitute any of the following:
  9 29    a.  A fraudulent conveyance.
  9 30    b.  An intent by the protected cell company to defraud
  9 31 creditors.
  9 32    c.  The transaction of business by the protected cell
  9 33 company for a fraudulent purpose.
  9 34    Sec. 8.  NEW SECTION.  521G.8  SUPERVISION, REHABILITATION,
  9 35 OR LIQUIDATION OF A PROTECTED CELL COMPANY.
 10  1    Upon an order of supervision, rehabilitation, or
 10  2 liquidation of a protected cell company, a receiver shall
 10  3 manage a protected cell company's assets and liabilities,
 10  4 including protected cell assets and protected cell
 10  5 liabilities, as provided in this chapter.
 10  6    An amount recoverable by a receiver under a protected cell
 10  7 company insurance securitization shall not be reduced or
 10  8 diminished as a result of the entry of an order of
 10  9 supervision, rehabilitation, or liquidation with respect to
 10 10 the protected cell company, notwithstanding contrary
 10 11 provisions in a contract or other document governing the
 10 12 protected cell company insurance securitization.
 10 13    Sec. 9.  NEW SECTION.  521G.9  TRANSACTION OF INSURANCE
 10 14 BUSINESS PROHIBITED.
 10 15    A protected cell company insurance securitization is not an
 10 16 insurance or reinsurance contract.  An investor in a protected
 10 17 cell company insurance securitization, by sole means of this
 10 18 investment, is not deemed to be transacting an insurance
 10 19 business in this state.  An underwriter or selling agent, or a
 10 20 partner, director, officer, member, manager, employee, or
 10 21 agent of such underwriter or selling agent, participating in a
 10 22 protected cell company insurance securitization, is not deemed
 10 23 to be conducting an insurance or reinsurance agency,
 10 24 brokerage, intermediary, advisory, or consulting business as a
 10 25 result of such participation.
 10 26    Sec. 10.  NEW SECTION.  521G.10  RULES.
 10 27    The commissioner shall adopt rules pursuant to chapter 17A
 10 28 as are necessary to administer this chapter.  
 10 29                           EXPLANATION
 10 30    This bill creates a new Code chapter 521G which authorizes
 10 31 a domestic insurer authorized to transact the business of
 10 32 insurance under Code chapter 515 to establish protected cells
 10 33 as a means of accessing alternative sources of capital.
 10 34    New Code section 521G.1 establishes the title of the new
 10 35 Code chapter as the "Protected Cell Company Act".
 11  1    New Code section 521G.2 sets forth the purpose of the new
 11  2 Code chapter.
 11  3    New Code section 521G.3 sets forth the definitions of key
 11  4 terms used in the new Code chapter.
 11  5    New Code section 521G.4 establishes the manner for
 11  6 determining the fair value of protected cell assets and
 11  7 liabilities.
 11  8    New Code section 521G.5 provides for the establishment of
 11  9 protected cells.  The new Code section provides that a
 11 10 protected cell company may establish one or more protected
 11 11 cells with the prior written approval of the commissioner of a
 11 12 plan of operation submitted by the protected cell company with
 11 13 respect to each protected cell related to an insurance
 11 14 securitization.  The new Code section provides that the plan
 11 15 shall include, but not be limited to, the specific business
 11 16 objectives and investment guidelines of the protected cell
 11 17 company.
 11 18    New Code section 521G.6 provides for the use and operation
 11 19 of protected cells.
 11 20    New Code section 521G.7 provides for the rights of
 11 21 creditors and other claimants with respect to the assets of a
 11 22 protected cell company.  The new Code section provides that
 11 23 protected cell assets shall only be available to a creditor of
 11 24 the protected cell company that is a creditor with respect to
 11 25 that protected cell.  Such creditor shall have recourse to the
 11 26 protected cell assets attributable to that protected cell, to
 11 27 the exclusion of other creditors of the protected cell company
 11 28 that are not creditors with respect to that protected cell.
 11 29    New Code section 521G.8 provides for the supervision,
 11 30 rehabilitation, and liquidation of protected cell companies.
 11 31    New Code section 521G.9 provides that a protected cell
 11 32 company insurance securitization is not an insurance or
 11 33 reinsurance contract, and that a person participating in such
 11 34 protected cell company insurance securitization, solely as a
 11 35 result of such participation, is not deemed to be transacting
 12  1 an insurance business in this state.
 12  2    New Code section 521G.10 directs the commissioner to adopt
 12  3 rules under Code chapter 17A to implement new Code chapter
 12  4 521G.
