  1  1    Amend the amendment, H-5260, to House File 2235 as
  1  2 follows:
  1  3    #1.  Page 6, by inserting after line 47 the
  1  4 following:
  1  5    "Sec.    .  NEW SECTION.  523H.10A  UNFAIR AND
  1  6 DECEPTIVE ACTS.
  1  7    In connection with the grant of a franchise, or
  1  8 subsequent performance and termination, it is unlawful
  1  9 for the franchisor to engage in any unfair or
  1 10 deceptive act or practice including, but not limited
  1 11 to, the following:
  1 12    1.  Employing a device, scheme, or artifice to
  1 13 defraud.
  1 14    2.  Making an untrue statement of material fact or
  1 15 omitting to state a material fact necessary in order
  1 16 to make the statements made, in the light of the
  1 17 circumstances under which they are made, not
  1 18 misleading.
  1 19    3.  Engaging in an act, practice, or course of
  1 20 business which operates or would operate as a fraud,
  1 21 deceit, forfeiture, or unconscionable conduct.
  1 22    4.  Omitting to state a material fact or make or
  1 23 cause to be made an untrue statement of a material
  1 24 fact in any registration or prospectus required under
  1 25 federal or state law or regulation and presented to a
  1 26 prospective franchisee.
  1 27    5.  Making a false or misleading statement of
  1 28 material fact or omitting to state a material fact in
  1 29 a registration application required to be stated or
  1 30 necessary to make a required statement not misleading.
  1 31    6.  Employing illegal or deceptive activities in
  1 32 the operation of the franchisor's enterprise or method
  1 33 of business."
