1 1 Section 1. NEW SECTION. 9.8 NOTICE OF ADMINISTRATIVE
1 2 DISSOLUTION – QUESTIONNAIRE.
1 3 If, pursuant to section 490.1421, the secretary of state
1 4 serves a corporation with written notice of the secretary of
1 5 state's determination of grounds for administrative
1 6 dissolution of a corporation, the secretary of state shall
1 7 include with the notice a questionnaire developed pursuant to
1 8 section 15.115.
1 9 Sec. 2. NEW SECTION. 15.115 BUSINESS QUESTIONNAIRE.
1 10 1. The department shall convene a task force for purposes
1 11 of developing a questionnaire designed to be forwarded to any
1 12 corporation, pursuant to section 9.8, that is being provided
1 13 with notice of a determination of grounds for administrative
1 14 dissolution of the corporation by the secretary of state. The
1 15 questionnaire shall survey the corporation in an effort to
1 16 determine any reason for or factor in the dissolution of the
1 17 corporation.
1 18 2. The department shall collect any responses to a
1 19 questionnaire in an effort to determine trends as evidenced by
1 20 the responses submitted.
1 21 EXPLANATION
1 22 This bill relates to the distribution of questionnaires to
1 23 businesses that receive a written notice of a determination of
1 24 grounds for administrative dissolution of a corporation. The
1 25 bill provides that, when the secretary of state sends such
1 26 notices, a questionnaire shall be included with the notice.
1 27 The bill provides that the department of economic development
1 28 shall convene a task force for purposes of developing a
1 29 questionnaire that surveys corporations in an effort to
1 30 determine any reason for or factor in the dissolution of the
1 31 corporation. The bill provides that the department shall
1 32 collect any responses to the questionnaire in an effort to
1 33 determine trends.
