  1  1    Section 1.  NEW SECTION.  496B.13A  PUBLICATION OF BOARD
  1  2 MINUTES.
  1  3    1.  Within fifteen days following any board of directors
  1  4 meeting of a development corporation, the development
  1  5 corporation shall cause the meeting minutes to be published in
  1  6 a newspaper of general circulation in each county in which the
  1  7 development corporation conducts business.  The publication
  1  8 shall include, at a minimum, all of the following:
  1  9    a.  The time, date, and location of the meeting.
  1 10    b.  All persons present at the meeting.
  1 11    c.  A list of all topics discussed during the meeting.
  1 12    d.  A list of any written or oral testimony submitted to
  1 13 the development corporation at the meeting.
  1 14    e.  Any motion offered during the meeting and the outcome
  1 15 of the motion.
  1 16    2.  The publication shall not include any of the following:
  1 17    a.  Any discussion of records or documents which are
  1 18 required or authorized by state or federal law to be kept
  1 19 confidential.
  1 20    b.  Any discussion of strategy with counsel in matters that
  1 21 are presently in litigation or where litigation is imminent
  1 22 where its disclosure would be likely to prejudice or
  1 23 disadvantage the position of the development corporation in
  1 24 that litigation.
  1 25    c.  Any discussion of the evaluation of the professional
  1 26 competency of an individual whose appointment, hiring,
  1 27 performance, or discharge is being considered when necessary
  1 28 to prevent needless and irreparable injury to that
  1 29 individual's reputation.  
  1 30                           EXPLANATION
  1 31    This bill amends Code chapter 496B relating to the creation
  1 32 of economic development corporations.  Economic development
  1 33 corporations are organized for the purpose of developing
  1 34 businesses, industries, and enterprises in the state by the
  1 35 loaning and investing of money in such businesses, industries,
  2  1 and enterprises and for other business development-related
  2  2 purposes.
  2  3    The bill requires an economic development corporation to
  2  4 publish the minutes of any board of directors meeting within
  2  5 15 days following the meeting.  The bill provides that the
  2  6 publication shall occur in a newspaper of general circulation
  2  7 in each county in which the economic development corporation
  2  8 conducts business.  The bill provides that the publication
  2  9 shall include the time, date, and location of the meeting, all
  2 10 persons present at the meeting, a list of all topics discussed
  2 11 during the meeting, a list of any written or oral testimony
  2 12 submitted to the development corporation at the meeting, and
  2 13 any motion offered during the meeting and the outcome of the
  2 14 motion.  The bill prohibits the publication of any discussion
  2 15 of confidential records or documents, any discussion of
  2 16 litigation strategy, and any discussion of a professional
  2 17 competency evaluation when necessary to prevent needless and
  2 18 irreparable injury to an individual's reputation.
