1 1 Section 1. Section 496C.7, Code 1999, is amended to read
1 2 as follows:
1 3 496C.7 PRACTICE BY PROFESSIONAL CORPORATION.
1 4 1. Notwithstanding any other statute or rule of law, a
1 5 professional corporation may practice a profession, but may do
1 6 so in this state only through shareholders, directors,
1 7 officers, employees, and agents who are licensed to practice
1 8 the same profession in this state.
1 9 2. In its practice of a profession, no professional
1 10 corporation shall do any act which could not lawfully be done
1 11 by individuals licensed to practice the profession which the
1 12 professional corporation is authorized to practice.
1 13 3. For purposes of this section, persons licensed to
1 14 practice medicine and surgery, osteopathic medicine and
1 15 surgery, osteopathy, chiropractic, podiatry, or optometry
1 16 under the laws of this state are all considered to be in one
1 17 profession.
1 18 EXPLANATION
1 19 This bill relates to the profession that a professional
1 20 corporation may practice. Current law provides that a
1 21 professional corporation may practice a profession through
1 22 shareholders, directors, officers, employees, and agents who
1 23 are licensed to practice the same profession. The bill
1 24 provides that persons licensed to practice medicine and
1 25 surgery, osteopathic medicine and surgery, osteopathy,
1 26 chiropractic, podiatry, or optometry are all considered to be
1 27 in one profession for incorporation purposes.
