  1  1    Amend House File 2235 as follows:
  1  2    #1.  Page 8, by striking lines 1 through 6 and
  1  3 inserting the following:  "business reason.  "Good
  1  4 cause" includes the failure of the franchisee to
  1  5 comply with any material lawful requirement of the
  1  6 franchise agreement, provided that the termination by
  1  7 the franchisor is not arbitrary or capricious when
  1  8 compared to the actions of the franchisor in other
  1  9 similar circumstances.  The burden of proof showing".
