  1  1    Amend Senate File 324, as amended, passed, and
  1  2 reprinted by the Senate, as follows:
  1  3    #1.  Page 5, by inserting after line 3 the
  1  4 following:
  1  5    "4A.  MANAGEMENT CHANGES.  It shall be a violation
  1  6 of this chapter for any franchisor, through any
  1  7 officer, agent, or employee, to directly or indirectly
  1  8 require or prohibit a change in management of a
  1  9 franchisee unless the requirement or prohibition of
  1 10 change shall be for good cause, which shall be stated
  1 11 in writing to the franchisee."
  1 12    #2.  Page 12, by inserting after line 35 the
  1 13 following:
  1 14    "c.  A franchisor shall not refuse to renew a
  1 15 franchise if the refusal is for the purpose of
  1 16 converting the franchisee's business into an operation
  1 17 that will be owned directly or indirectly by the
  1 18 franchisor."
  1 19    #3.  Page 13, by inserting after line 19 the
  1 20 following:
  1 21    "9A.  TIMELY DELIVERY.  It shall be unlawful for a
  1 22 franchisor to refuse or fail to supply to a franchisee
  1 23 in reasonable quantities and within a reasonable time
  1 24 after receipt of an order any goods, supplies,
  1 25 inventories, or services that the franchisor has
  1 26 agreed to supply to the franchisee, unless the failure
  1 27 is caused by acts or causes beyond the control of the
  1 28 franchisor."
  1 29    #4.  Page 13, line 24, by inserting after the word
  1 30 "activities." the following:  "In any action where
  1 31 retaliation is proved, compensatory damages shall be
  1 32 trebled."
  1 33    #5.  By renumbering, relettering, or redesignating
  1 34 and correcting internal references as necessary.
