  1  1    Amend House File 445 as follows:
  1  2    #1.  Page 1, line 23, by striking the word "shall"
  1  3 and inserting the following:  "may".
  1  4    #2.  Page 1, line 29, by inserting after the word
  1  5 "bank." the following:  "A judgment in the action
  1  6 shall not determine fair value for a share to be less
  1  7 than the stockholders' equity in the bank in its last
  1  8 statement of condition filed under section 524.220
  1  9 divided by the number of shares outstanding."
  1 10    #3.  Page 2, by striking lines 1 and 2 and
  1 11 inserting the following:  "paid to all shareholders
  1 12 entitled to payment for their shares upon receipt of
  1 13 such shareholders' share certificates."
