1 2 #1. Page 16, by inserting after line 24 the
1 3 following:
1 4 "Sec. 13A. Section 16.5, Code Supplement 1997, is
1 5 amended by adding the following new subsections:
1 6 NEW SUBSECTION. 18. Require any nonprofit
1 7 corporation created by or in association with the
1 8 authority since January 1, 1989, to include two
1 9 representatives of nonprofit housing organizations as
1 10 voting members on the board of directors of any such
1 11 corporation. Any such nonprofit corporation shall not
1 12 have more than two nonvoting ex-officio members on the
1 13 board of directors who are employed by the authority
1 14 or serve on the board of directors of the authority.
1 15 NEW SUBSECTION. 19. Require any nonprofit
1 16 corporation created by or in association with the
1 17 authority since January 1, 1989, to file a detailed
1 18 report by January 15 of each year with the
1 19 chairpersons and ranking members of the appropriate
1 20 appropriations subcommittees of the general assembly
1 21 which shall include, at a minimum, all of the
1 22 following:
1 23 a. An annual report of the corporation.
1 24 b. An itemized list of projects assisted, project
1 25 fees received, project locations, types and amounts of
1 26 assistance provided, and contact persons for each
1 27 project.
1 28 c. A list of fixed assets of the corporation,
1 29 including the date the fixed assets were acquired and
1 30 the cost of the fixed assets.
1 31 d. An itemized list of types and amounts of
1 32 financial assistance provided to the corporation by
1 33 outside sources.
1 34 e. A list, by position, of all corporate employees
1 35 and board members. The information submitted pursuant
1 36 to this paragraph shall include the compensation
1 37 received, including salary and benefits, received by
1 38 each employee and board member.
1 39 NEW SUBSECTION. 20. Require any nonprofit
1 40 corporation created by or in association with the
1 41 authority since January 1, 1989, to adopt a written
1 42 conflict of interests policy. The policy shall
1 43 include, but not be limited to, a prohibition against
1 44 a board member or employee of the corporation having a
1 45 financial interest in any project of the corporation.
1 46 Sec. 13B. AUDIT. By January 15, 1999, the auditor
1 47 of state shall conduct an audit, or review any
1 48 previously completed audit, of any nonprofit
1 49 corporation in existence which has been incorporated
1 50 since January 1, 1989, by or in association with the
2 1 Iowa finance authority, for the entire time period
2 2 since the corporation was incorporated. The auditor
2 3 shall make or cause to be made a written report
2 4 consistent with and similar to the type of report
2 5 required under section 11.4. The auditor of state may
2 6 conduct similar additional audits of the same
2 7 nonprofit corporation as the auditor deems necessary
2 8 and the nonprofit corporation shall pay a fee for all
2 9 audits conducted.
2 10 Sec. 13C. HOUSING CORPORATION BOARD. The board of
2 11 directors of the Iowa housing corporation shall
2 12 consist of nine voting members serving staggered
2 13 three-year terms. Two members shall be
2 14 representatives of nonprofit housing organizations
2 15 with one member appointed by the governor, subject to
2 16 confirmation by the senate, and one member named by
2 17 the Iowa coalition for housing and the homeless. The
2 18 Iowa association of realtors, the home builders
2 19 association of Iowa, and the Iowa mortgage bankers
2 20 association shall all appoint one member to the board.
2 21 The governor shall appoint the remaining four board
2 22 members subject to confirmation by the senate. The
2 23 terms of three board members shall expire each year.
2 24 Board members serving on the effective date of this
2 25 Act shall complete their current terms and shall have
2 26 their positions on the board filled by the members who
2 27 are to be appointed by the governor. Board members
2 28 filling the four new positions on the board which are
2 29 appointed by the private associations may serve less
2 30 than a three-year term during the initial term in
2 31 order to properly stagger the terms. All appointments
2 32 to the board of directors made by the governor shall
2 33 conform to the requirements of sections 69.15, 69.16,
2 34 69.16A, 69.17, 69.18, and 69.19."

2 36 "Section" and inserting the following: "Sections 13A,
2 37 13B, 13C, and".
2 38 #3. Page 19, line 12, by striking the word "takes"
2 39 and inserting the following: "take".
2 40 #4. Title page, by striking line 5 and inserting
2 41 the following: "providing effective date provisions."
2 42 #5. By renumbering and correcting internal
2 43 numbering and references as necessary.
