Page 1, line 28, by inserting after the words 1 8 "of the" the following: "registered limited 1 9 partnership,". 1 10 #4. Page 1, by inserting after line 31 the 1 11 following: 1 12 "Sec. ___. Section 487.102, Code 1997, is amended 1 13 by adding the following new subsection: 1 14 NEW SUBSECTION. 6. This chapter does not control 1 15 the use of fictitious names. However, a limited 1 16 partnership which uses a fictitious name in this state 1 17 shall deliver to the secretary of state for filing a 1 18 copy of the resolution of the limited partnership 1 19 certified by its general partners, adopting the 1 20 fictitious name." 1 21 #5. Page 1, by inserting after 31, the following: 1 22 "Sec. ___. Section 487.103, subsection 2, Code 1 23 1997, is amended to read as follows: 1 24 2. The reservation shall be made by filing with 1 25 the secretary of state an application to reserve a 1 26 specified name. If the secretary of state finds that 1 27 the name is available for use by a domestic or foreign 1 28 limited partnership, the secretary shall reserve the 1 29 name for the exclusive use of the applicant for a 1 30 period ofninetyone hundred twenty days. The right 1 31 to the exclusive use of a reserved name may be 1 32 transferred to any other person by filing in the 1 33 office of the secretary of state a notice of the 1 34 transfer, executed by the applicant for whom the name 1 35 was reserved and specifying the name and address of 1 36 the transferee." 1 37 #6. Section 487.904, Code 1997, is amended 1 50 by striking the section and inserting in lieu thereof 2 1 the following: 2 2 487.904 AMENDED REGISTRATION. 2 3 1. A foreign limited partnership registered to 2 4 transact business in this state shall obtain an 2 5 amended certificate of registration from the secretary 2 6 of state if either of the following conditions exist: 2 7 a. A statement in the application for registration 2 8 was false when made. 2 9 b. An arrangement or other fact described in the 2 10 application for registration has changed making the 2 11 application inaccurate in any respect. 2 12 2. The requirements of section 487.902 for 2 13 obtaining an original certificate of registration 2 14 apply to obtaining an amended certificate under this 2 15 section." 2 16 #12.
