1 2 #1. Page 3, by inserting after line 14 the
1 3 following:
1 4 "6. A franchisor shall not prohibit a franchisee
1 5 from, or enforce a prohibition against a franchisee,
1 6 engaging in any lawful business at any location after
1 7 a termination or refusal to renew by a franchisor,
1 8 unless it is one which relies on a substantially
1 9 similar marketing program as the terminated or
1 10 nonrenewed franchise or unless the franchisor offers
1 11 in writing no later than ten business days before
1 12 expiration of the franchise to purchase the assets of
1 13 the franchised business for its fair market value as a
1 14 going concern. The value of the assets shall not
1 15 include the goodwill of the business attributable to
1 16 the trademark licensed to the franchisee in the
1 17 franchise agreement. The offer may be conditioned
1 18 upon the ascertainment of a fair market value by an
1 19 impartial appraiser. This subsection does not apply
1 20 to assets of the franchised business which the
1 21 franchisee did not purchase from the franchisor, or
1 22 the agent of the franchisor."
