  1  1    Amend Senate File 2135 as follows:
  1  2    #1.  Page 13, line 2, by inserting after the word
  1  3 "interest." the following:  "A director shall be
  1  4 deemed to have a conflict of interest in a matter
  1  5 concerning a transaction between the cooperative and
  1  6 another entity, if the director owns a twenty-five
  1  7 percent or greater ownership interest in the other
  1  8 entity."
