The fund shall consist of moneys collected by the clerk of the district court for deposit in the fund pursuant to <xhtml:span class="iowaCodeRef">section 602.8108, subsection 6</xhtml:span>, and transfers of interest, earnings, and moneys from other funds as provided by law. The moneys in the fund are subject to appropriation to the office of the secretary of state by the general assembly. The office of the secretary of state shall administer the fund. The office of the secretary of state shall provide an annual report to the department of management and the legislative services agency on expenditures from the fund in a format as determined by the department of management in consultation with the legislative services agency.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">2</xhtml:span></xhtml:div><xhtml:p class="para">To meet cash flow needs for the address confidentiality program established in <xhtml:span class="iowaCodeRef">chapter 9E</xhtml:span>, the office of secretary of state may temporarily use funds from the general fund of the state to pay expenses in excess of moneys available in the revolving fund for purposes of the program if those additional expenditures can be fully reimbursed with moneys collected pursuant to <xhtml:span class="iowaCodeRef">section 602.8108, subsection 6</xhtml:span>, and the office of the secretary of state reimburses the general fund of the state and ensures that all moneys are repaid in full by the close of the fiscal year. Because any general fund moneys used shall be fully reimbursed, such temporary use of funds from the general fund of the state shall not constitute an appropriation for purposes of calculating the state general fund expenditure limitation pursuant to <xhtml:span class="iowaCodeRef">section 8.54</xhtml:span>.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div advanced review by the secretary of the proposed filing of a document to determine the sufficiency of the actual filing of the document to meet all applicable statutory requirements as required in <xhtml:span class="iowaCodeRef">section 9.14</xhtml:span>.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">4</xhtml:span></xhtml:div><xhtml:p class="para"><xhtml:span class="term">“Secretary”</xhtml:span> means the secretary of state.</xhtml:p></xhtml:div><xhtml:div class="headnote">Rules.</xhtml:span></xhtml:div><xhtml:p class="para">The secretary shall adopt rules pursuant to <xhtml:span class="iowaCodeRef">chapter 17A</xhtml:span> necessary or desirable to administer <xhtml:span class="iowaCodeRef">this subchapter</xhtml:span>, including by offering and performing extra filing services upon request by filers. The fund is composed of moneys collected in surcharges implemented, assessed, and collected by the secretary pursuant to <xhtml:span class="iowaCodeRef">sections 9.14</xhtml:span> and <xhtml:span class="iowaCodeRef">9.15</xhtml:span>.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">2</xhtml:span></xhtml:div><xhtml:p class="para">Moneys in the business administration fund are appropriated to the office of the secretary of state for the exclusive purpose of supporting the administration of <xhtml:span class="iowaCodeRef">Title XII</xhtml:span>. </xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">3</xhtml:span></xhtml:div><xhtml:p class="para"><xhtml:span class="iowaCodeRef">Section 8.33</xhtml:span> shall not apply to moneys in the fund. Notwithstanding <xhtml:span class="iowaCodeRef">section 12C.7</xhtml:span>, moneys earned as income, including as interest, from the fund shall remain in the fund until expended as provided in <xhtml:span class="iowaCodeRef">this section</xhtml:span>.</xhtml:p></xhtml:div><xhtml:div class="history"><xhtml:div class="historyItem"><xhtml:span class="iowaActsRef">2021 Acts, ch 165, §251</xhtml:span></xhtml:div></xhtml:div></slim:Section><slim:Section class="codeSection" id="sec9.14"><xhtml:div class="heading"><xhtml:span class="identifier">9.14</xhtml:span><xhtml:span class="headnote">Preclearance filing service <xhtml:span class="em-dash"/> surcharge. </xhtml:span></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">1</xhtml:span></xhtml:div><xhtml:p class="para">Upon the request of the filer of a document not yet actually filed, the secretary shall provide a preclearance filing service to determine if the proposed filing of the document would be actually filed by the secretary under the relevant filing statute. The secretary shall report to the filer whether the proposed filing of the document is approved or disapproved.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">2</xhtml:span></xhtml:div><xhtml:p class="para">If the secretary reports the approval of a proposed filing of the document, the secretary shall return the proposed filing’s document stamped with the approval date. If an inaccuracy or defect was present in an approved proposed filing of a document, but that inaccuracy or defect prevents the actual filing of the document by the secretary, the filer may timely submit a corrected document. The corrected document is effective retroactively as of the date that the filer submitted the approved proposed filing to the secretary for actual filing. </xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">3</xhtml:span></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">a</xhtml:span></xhtml:div><xhtml:p class="para">If the secretary reports the approval of a proposed filing of the document, and the document is actually filed within six months from the date of the proposed filing’s approval date, the actual filing of a document is presumed valid.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">b</xhtml:span></xhtml:div><xhtml:p class="para"><xhtml:span class="iowaCodeRef">This section</xhtml:span> does not affect the operation of filing a statement of correction as provided in <xhtml:span class="iowaCodeRef">section 486A.1204</xhtml:span>, <xhtml:span class="iowaCodeRef">488.207</xhtml:span>, or <xhtml:span class="iowaCodeRef">489.209</xhtml:span>; articles of correction as provided in <xhtml:span class="iowaCodeRef">section 490.124</xhtml:span>, <xhtml:span class="iowaCodeRef">499.44</xhtml:span>, <xhtml:span class="iowaCodeRef">501.105</xhtml:span>, <xhtml:span class="iowaCodeRef">501A.204</xhtml:span>, or <xhtml:span class="iowaCodeRef">504.115</xhtml:span>; or an application for the issuance of a new certificate as provided in <xhtml:span class="iowaCodeRef">section 491.29</xhtml:span>.</xhtml:p></xhtml:div></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">4</xhtml:span></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">a</xhtml:span></xhtml:div><xhtml:p class="para">The secretary shall implement, assess, and collect a surcharge for providing the preclearance filing service based on the period of service as follows: </xhtml:p><xhtml:div class="subpara"><xhtml:div class="heading"><xhtml:span class="identifier">1</xhtml:span></xhtml:div><xhtml:p class="para">For same-day service, the surcharge shall be two hundred fifty dollars.</xhtml:p></xhtml:div><xhtml:div class="subpara"><xhtml:div class="heading"><xhtml:span class="identifier">2</xhtml:span></xhtml:div><xhtml:p class="para">For two-day service, the surcharge shall be twice the amount of the filing fee.</xhtml:p></xhtml:div><xhtml:div class="subpara"><xhtml:div class="heading"><xhtml:span class="identifier">3</xhtml:span></xhtml:div><xhtml:p class="para">For three-day service, the surcharge shall be the same amount as the filing fee.</xhtml:p></xhtml:div></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">b</xhtml:span></xhtml:div><xhtml:p class="para">The secretary of state is not required to provide a four-day or more period of service.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">c</xhtml:span></xhtml:div><xhtml:p class="para">The surcharge shall be added to the amount of the fee implemented, assessed, and collected for the actual filing of the document.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">d</xhtml:span></xhtml:div><xhtml:p class="para">The secretary shall provide a preclearance filing service without charge to approve or disapprove a proposed corrected actual filing of a document, if an inaccuracy or defect was present in a proposed filing of the document, the proposed filing of the document was approved, and the inaccuracy or defect prevented the actual filing of the document.</xhtml:p></xhtml:div></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">5</xhtml:span></xhtml:div><xhtml:p class="para">Any moneys collected by the secretary under <xhtml:span class="iowaCodeRef">this section</xhtml:span> shall be deposited in the business administration fund created in <xhtml:span class="iowaCodeRef">section 9.13</xhtml:span>. </xhtml:p></xhtml:div><xhtml:div class="history"><xhtml:div class="historyItem"><xhtml:span class="iowaActsRef">2021 Acts, ch 165, §252</xhtml:span>; <xhtml:span class="iowaActsRef">2022 Acts, ch 1021, §2</xhtml:span></xhtml:div></xhtml:div><xhtml:div class="footnotes"/></slim:Section><slim:Section class="codeSection" id="sec9.15"><xhtml:div class="heading"><xhtml:span class="identifier">9.15</xhtml:span><xhtml:span class="headnote">Expedited filing service <xhtml:span class="em-dash"/> surcharge.</xhtml:span></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">1</xhtml:span></xhtml:div><xhtml:p class="para">Upon the request of the filer of a document, the secretary shall provide an expedited filing service.
