<xhtml:span class="iowaActsRef">2019 Acts, ch 44, §1, 11</xhtml:span></xhtml:div></xhtml:div></slim:Section><slim:Section class="codeSection" id="sec9B.2"><xhtml:div class="heading"><xhtml:span class="identifier">9B.2</xhtml:span><xhtml:span class="headnote">Definitions.</xhtml:span></xhtml:div><xhtml:p class="para">In <xhtml:span class="iowaCodeRef">this chapter</xhtml:span>:</xhtml:p><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">1</xhtml:span></xhtml:div><xhtml:p class="para"><xhtml:span class="term">“Acknowledgment”</xhtml:span> means a declaration by an individual before a notarial officer that the individual has signed a record for the purpose stated in the record and, if the record is signed in a representative capacity, that the individual signed the record with proper authority and signed it as the act of the individual or entity identified in the record. </xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">2</xhtml:span></xhtml:div><xhtml:p class="para"><xhtml:span class="term">“Electronic”</xhtml:span> means relating to technology having electrical, digital, magnetic, wireless, optical, electromagnetic, or similar capabilities.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">3</xhtml:span></xhtml:div><xhtml:p class="para"><xhtml:span class="term">“Electronic signature”</xhtml:span> means an electronic symbol, sound, or process attached to or logically associated with a record and executed or adopted by an individual with the intent to sign the record.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">4</xhtml:span></xhtml:div><xhtml:p class="para"><xhtml:span class="term">“In a representative capacity”</xhtml:span> means acting as any of the following:</xhtml:p><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">a</xhtml:span></xhtml:div><xhtml:p class="para">An authorized officer, agent, partner, trustee, or other representative for a person other than an individual.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">b</xhtml:span></xhtml:div><xhtml:p class="para">A public officer, personal representative, guardian, or other representative, in the capacity stated in a record.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">c</xhtml:span></xhtml:div><xhtml:p class="para">An agent or attorney-in-fact for a principal.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">d</xhtml:span></xhtml:div><xhtml:p class="para">An authorized representative of another in any other capacity.</xhtml:p></xhtml:div></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">5</xhtml:span></xhtml:div><xhtml:p class="para"><xhtml:span class="term">“Instrument affecting real property”</xhtml:span> means a written instrument conveying or encumbering real property including an instrument affecting real estate as defined in <xhtml:span class="iowaCodeRef">section 558.1</xhtml:span> or any similar instrument provided in <xhtml:span class="iowaCodeRef">chapter 558</xhtml:span>.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">6</xhtml:span></xhtml:div><xhtml:p class="para"><xhtml:span class="term">“Notarial act”</xhtml:span> means an act, whether performed with respect to a tangible or electronic record, that a notarial officer may perform under the law of this state. The term includes taking an acknowledgment, administering an oath or affirmation, taking a verification on oath or affirmation, witnessing or attesting a signature, certifying or attesting a copy, and noting a protest of a negotiable instrument.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">7</xhtml:span></xhtml:div><xhtml:p class="para"><xhtml:span class="term">“Notarial officer”</xhtml:span> means a notary public or other individual authorized to perform a notarial act.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">8</xhtml:span></xhtml:div><xhtml:p class="para"><xhtml:span class="term">“Notary public”</xhtml:span> means an individual commissioned to perform a notarial act by the secretary of state.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">9</xhtml:span></xhtml:div><xhtml:p class="para"><xhtml:span class="term">“Official stamp”</xhtml:span> means a physical image affixed to or embossed on a tangible record or an electronic image attached to or logically associated with an electronic record.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">10</xhtml:span></xhtml:div><xhtml:p class="para"><xhtml:span class="term">“Person”</xhtml:span> means an individual, corporation, business trust, statutory trust, estate, trust, partnership, limited liability company, association, joint venture, public corporation, government or governmental subdivision, agency, or instrumentality, or any other legal or commercial entity.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">11</xhtml:span></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">a</xhtml:span></xhtml:div><xhtml:p class="para"><xhtml:span class="term">“Personal appearance”</xhtml:span> means an act of a party to physically appear within the presence of a notarial officer at the time the notarial act is performed.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">b</xhtml:span></xhtml:div><xhtml:p class="para">Except as provided in <xhtml:span class="iowaCodeRef">section 9B.14A</xhtml:span>, <xhtml:span class="term">“personal appearance”</xhtml:span> does not include appearances which require video, optical, or technology with similar capabilities.</xhtml:p></xhtml:div></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">12</xhtml:span></xhtml:div><xhtml:p class="para"><xhtml:span class="term">“Record”</xhtml:span> means information that is inscribed on a tangible medium or that is stored in an electronic or other medium and is retrievable in perceivable form.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">13</xhtml:span></xhtml:div><xhtml:p class="para"><xhtml:span class="term">“Remote facilitator”</xhtml:span> means a person who participates in performing a notarial act under <xhtml:span class="iowaCodeRef">section 9B.14A</xhtml:span>, by doing any of the following: </xhtml:p><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">a</xhtml:span></xhtml:div><xhtml:p class="para">Providing communication technology used by a public  notary or remotely located individual.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">b</xhtml:span></xhtml:div><xhtml:p class="para">Creating, transmitting, or retaining audio-visual recordings on behalf of a notary public.</xhtml:p></xhtml:div></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">14</xhtml:span></xhtml:div><xhtml:p class="para"><xhtml:span class="term">“Sign”</xhtml:span> means, with present intent to authenticate or adopt a record, to do any of the following:</xhtml:p><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">a</xhtml:span></xhtml:div><xhtml:p class="para">Execute or adopt a tangible symbol.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">b</xhtml:span></xhtml:div><xhtml:p class="para">Attach to or logically associate with the record an electronic symbol, sound, or process.</xhtml:p></xhtml:div></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">15</xhtml:span></xhtml:div><xhtml:p class="para"><xhtml:span class="term">“Signature”</xhtml:span> means a tangible symbol or an electronic signature that evidences the signing of a record.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">16</xhtml:span></xhtml:div><xhtml:p class="para"><xhtml:span class="term">“Stamping device”</xhtml:span> means any of the following: </xhtml:p><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">a</xhtml:span></xhtml:div><xhtml:p class="para">A physical device capable of affixing to or embossing on a tangible record an official stamp.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">b</xhtml:span></xhtml:div><xhtml:p class="para">An electronic device or process capable of attaching to or logically associating with an electronic record an official stamp.</xhtml:p></xhtml:div></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">17</xhtml:span></xhtml:div><xhtml:p class="para"><xhtml:span class="term">“State”</xhtml:span> means a state of the United States, the District of Columbia, Puerto Rico, the United States Virgin Islands, or any territory or insular possession subject to the jurisdiction of the United States. </xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">18</xhtml:span></xhtml:div><xhtml:p class="para"><xhtml:span class="term">“Verification on oath or affirmation”</xhtml:span> means a declaration, made by an individual on oath or affirmation before a notarial officer, that a statement in a record is true. </xhtml:p></xhtml:div><xhtml:div class="identifier">9B.4</xhtml:span><xhtml:span class="headnote">Authority to perform notarial act.</xhtml:span></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">1</xhtml:span></xhtml:div><xhtml:p class="para">A notarial officer may perform a notarial act authorized by <xhtml:span class="iowaCodeRef">this chapter</xhtml:span> or by law of this state other than this chapter.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">2</xhtml:span></xhtml:div><xhtml:p class="para">A notarial officer shall not perform a notarial act with respect to a record to which the notarial officer or the notarial officer’s spouse is a party, or in which either of them has a direct beneficial interest. A notarial act performed in violation of this subsection is voidable.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">3</xhtml:span></xhtml:div><xhtml:p class="para">A notarial officer may certify that a tangible copy of an electronic record is an accurate copy of the electronic record as provided in <xhtml:span class="iowaCodeRef">section 9B.14A</xhtml:span>.</xhtml:p></xhtml:div><xhtml:div class="history"><xhtml:div class="historyItem"><xhtml:span class="iowaActsRef">2012 Acts, ch 1050, §3, 60</xhtml:span>; <xhtml:span class="iowaActsRef">2019 Acts, ch 44, §4, 11</xhtml:span></xhtml:div></xhtml:div></slim:Section><slim:Section class="codeSection" id="sec9B.5"><xhtml:div class="heading"><xhtml:span class="identifier">9B.5</xhtml:span><xhtml:span class="headnote">Requirements for certain notarial acts.</xhtml:span></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">1</xhtml:span></xhtml:div><xhtml:p class="para">A notarial officer who takes an acknowledgment of a record shall determine, from personal knowledge or satisfactory evidence of the identity of the individual, that the individual appearing before the notarial officer and making the acknowledgment has the identity claimed and that the signature on the record is the signature of the individual.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">2</xhtml:span></xhtml:div><xhtml:p class="para">A notarial officer who takes a verification of a statement on oath or affirmation shall determine, from personal knowledge or satisfactory evidence of the identity of the individual, that the individual appearing before the notarial officer and making the verification has the identity claimed and that the signature on the statement verified is the signature of the individual.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">3</xhtml:span></xhtml:div><xhtml:p class="para">A notarial officer who witnesses or attests to a signature shall determine, from personal knowledge or satisfactory evidence of the identity of the individual, that the individual appearing before the notarial officer and signing the record has the identity claimed.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">4</xhtml:span></xhtml:div><xhtml:p class="para">A notarial officer who certifies or attests a copy of a record or an item that was copied shall determine that the copy is a full, true, and accurate transcription or reproduction of the record or item.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">5</xhtml:span></xhtml:div><xhtml:p class="para">A notarial officer who makes or notes a protest of a negotiable instrument shall determine the matters set forth in <xhtml:span class="iowaCodeRef">section 554.3505, subsection 2</xhtml:span>.</xhtml:p></xhtml:div><xhtml:div class="history"><xhtml:div class="historyItem"><xhtml:span class="iowaActsRef">2012 Acts, ch 1050, §4, 60</xhtml:span></xhtml:div></xhtml:div></slim:Section><slim:Section class="codeSection" id="sec9B.6"><xhtml:div class="heading"><xhtml:span class="identifier">9B.6</xhtml:span><xhtml:span class="headnote">Personal appearance required.</xhtml:span></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">1</xhtml:span></xhtml:div><xhtml:p class="para">If a notarial act relates to a statement made in or a signature executed on a record, the individual making the statement or executing the signature shall appear personally before the notarial officer. </xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">2</xhtml:span></xhtml:div><xhtml:p class="para"><xhtml:span class="iowaCodeRef">This section</xhtml:span> is satisfied by a remotely located individual using communication technology to appear before a notary public as provided in <xhtml:span class="iowaCodeRef">section 9B.14A</xhtml:span>.</xhtml:p></xhtml:div><xhtml:div class="history"><xhtml:div class="historyItem"><xhtml:span class="iowaActsRef">2012 Acts, ch 1050, §5, 60</xhtml:span>; <xhtml:span class="iowaActsRef">2019 Acts, ch 44, §5, 11</xhtml:span></xhtml:div></xhtml:div></slim:Section><slim:Section class="codeSection" id="sec9B.7"><xhtml:div class="heading"><xhtml:span class="identifier">9B.7</xhtml:span><xhtml:span class="headnote">Identification of individual.</xhtml:span></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">1</xhtml:span></xhtml:div><xhtml:p class="para">A notarial officer has personal knowledge of the identity of an individual appearing before the notarial officer if the individual is personally known to the officer through dealings sufficient to provide reasonable certainty that the individual has the identity claimed.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">2</xhtml:span></xhtml:div><xhtml:p class="para">A notarial officer has satisfactory evidence of the identity of an individual appearing before the notarial officer if the notarial officer can identify the individual pursuant to any of the following:</xhtml:p><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">a</xhtml:span></xhtml:div><xhtml:p class="para">By means of any of the following:</xhtml:p><xhtml:div class="subpara"><xhtml:div class="heading"><xhtml:span class="identifier">1</xhtml:span></xhtml:div><xhtml:p class="para">A passport, driver’s license, or government-issued nondriver identification card, which is current or expired not more than three years before performance of the notarial act.</xhtml:p></xhtml:div><xhtml:div class="subpara"><xhtml:div class="heading"><xhtml:span class="identifier">2</xhtml:span></xhtml:div><xhtml:p class="para">Another form of government identification issued to an individual, which is current or expired not more than three years before performance of the notarial act, contains the signature or a photograph of the individual, and is satisfactory to the notarial officer.</xhtml:p></xhtml:div></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">b</xhtml:span></xhtml:div><xhtml:p class="para">By a verification on oath or affirmation of a credible witness personally appearing before the officer and known to the notarial officer or whom the notarial officer can identify on the basis of a passport, driver’s license, or government-issued nondriver identification card, which is current or expired not more than three years before performance of the notarial act.</xhtml:p></xhtml:div></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">3</xhtml:span></xhtml:div><xhtml:p class="para">A notarial officer may require an individual to provide additional information or identification credentials necessary to assure the officer of the identity of the individual. </xhtml:p></xhtml:div><xhtml:div class="history"><xhtml:div class="historyItem"><xhtml:span class="iowaActsRef">2012 Acts, ch 1050, §6, 60</xhtml:span></xhtml:div></xhtml:div></slim:Section><slim:Section class="codeSection" id="sec9B.8"><xhtml:div class="heading"><xhtml:span class="identifier">9B.8</xhtml:span><xhtml:span class="headnote">Authority to refuse to perform notarial act.</xhtml:span></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">1</xhtml:span></xhtml:div><xhtml:p class="para">A notarial officer may refuse to perform a notarial act if the notarial officer is not satisfied that any of the following apply:</xhtml:p><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">a</xhtml:span></xhtml:div><xhtml:p class="para">The individual executing the record is competent or has the capacity to execute the record.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">b</xhtml:span></xhtml:div><xhtml:p class="para">The individual’s signature is knowingly and voluntarily made. </xhtml:p></xhtml:div></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">2</xhtml:span></xhtml:div><xhtml:p class="para">A notarial officer may refuse to perform a notarial act unless refusal is prohibited by law other than <xhtml:span class="iowaCodeRef">this chapter</xhtml:span>.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">3</xhtml:span></xhtml:div><xhtml:p class="para">A notarial officer shall not condition the performing of notarial services upon the requirement that the person served be a customer or client of the establishment by which the notarial officer is employed. class="heading"><xhtml:span class="identifier">1</xhtml:span></xhtml:div><xhtml:p class="para">A notarial act may be performed in this state by any of the following:</xhtml:p><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">a</xhtml:span></xhtml:div><xhtml:p class="para">A notary public of this state.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">b</xhtml:span></xhtml:div><xhtml:p class="para">A judge, clerk, or deputy clerk of a court of this class="para">A notarial act performed in another state has the same effect under the law of this state as if performed by a notarial officer of this state, if the act performed in that state is performed by any of the following:</xhtml:p><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">a</xhtml:span></xhtml:div><xhtml:p class="para">A notary public of that state.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">b</xhtml:span></xhtml:div><xhtml:p class="para">A judge, clerk, or deputy clerk of a court of that state.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">c</xhtml:span></xhtml:div><xhtml:p class="para">Any other class="identifier">2</xhtml:span></xhtml:div><xhtml:p class="para">The signature and title of an individual performing a notarial act in another state are prima facie evidence that the signature is genuine and that the individual holds the designated title.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">3</xhtml:span></xhtml:div><xhtml:p class="para">The signature and title of a notarial officer described in <xhtml:span class="iowaCodeRef">subsection 1</xhtml:span>, paragraph <xhtml:span class="i">“a”</xhtml:span> or <xhtml:span class="i">“b”</xhtml:span>, conclusively establish the authority of the notarial officer to perform the notarial act.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">4</xhtml:span></xhtml:div><xhtml:p class="para">The notarial act performed in another state must be performed in accordance with <xhtml:span class="iowaCodeRef">section 9B.6</xhtml:span>. </xhtml:p></xhtml:div><xhtml:div class="history"><xhtml:div class="historyItem"><xhtml:span class="heading"><xhtml:span class="identifier">1</xhtml:span></xhtml:div><xhtml:p class="para">A notarial act performed under the authority and in the jurisdiction of a federally recognized Indian tribe has the same effect as if performed by a notarial officer of this state, if the act performed in the jurisdiction of the tribe is performed by any of the following:</xhtml:p><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">a</xhtml:span></xhtml:div><xhtml:p class="para">A notary public of the tribe.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">b</xhtml:span></xhtml:div><xhtml:p class="para">A judge, clerk, or deputy clerk of a court of the tribe.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">c</xhtml:span></xhtml:div><xhtml:p class="para">Any other individual authorized by the law of the tribe to perform the notarial act.</xhtml:p></xhtml:div></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">2</xhtml:span></xhtml:div><xhtml:p class="para">The signature and title of an individual performing a notarial act under the authority of and in the jurisdiction of a federally recognized Indian tribe are prima facie evidence that the signature is genuine and that the individual holds the designated title.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">3</xhtml:span></xhtml:div><xhtml:p class="para">The signature and title of a notarial officer described in <xhtml:span class="iowaCodeRef">subsection 1</xhtml:span>, paragraph <xhtml:span class="i">“a”</xhtml:span> or <xhtml:span class="i">“b”</xhtml:span>, conclusively establish the authority of the notarial officer to perform the notarial class="identifier">1</xhtml:span></xhtml:div><xhtml:p class="para">A notarial act performed under federal law has the same effect under the law of this state as if performed by a notarial officer of this state, if the act performed under federal law is performed by any of the following:</xhtml:p><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">a</xhtml:span></xhtml:div><xhtml:p class="para">A judge, clerk, or deputy clerk of a court.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">b</xhtml:span></xhtml:div><xhtml:p class="para">An individual in military service or performing duties under the authority of military service who is authorized to perform notarial acts under federal law.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">c</xhtml:span></xhtml:div><xhtml:p class="para">An individual designated a notarial officer by the United States department of state for performing notarial acts overseas.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">d</xhtml:span></xhtml:div><xhtml:p class="para">Any other individual authorized by federal law to perform the notarial act.</xhtml:p></xhtml:div></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">2</xhtml:span></xhtml:div><xhtml:p class="para">The signature and title of an individual acting under federal authority and performing a notarial act are prima facie evidence that the signature is genuine and that the individual holds the designated title.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">3</xhtml:span></xhtml:div><xhtml:p class="para">The signature and title of a notarial officer described in <xhtml:span class="iowaCodeRef">subsection 1</xhtml:span>, paragraph <xhtml:span class="i">“a”</xhtml:span>, <xhtml:span class="i">“b”</xhtml:span>, or <xhtml:span class="i">“c”</xhtml:span>, conclusively establish the authority of the notarial officer to perform the notarial act.</xhtml:p></xhtml:div><xhtml:div class="history"><xhtml:div class="heading"><xhtml:span class="identifier">1</xhtml:span></xhtml:div><xhtml:p class="para">As used in <xhtml:span class="iowaCodeRef">this section</xhtml:span>, <xhtml:span class="term">“foreign state”</xhtml:span> means a government other than the United States, a state, or a federally recognized Indian tribe.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">2</xhtml:span></xhtml:div><xhtml:p class="para">If a notarial act is performed under authority and in the jurisdiction of a foreign state or constituent unit of the foreign state or is performed under the authority of a multinational or international governmental organization, the act has the same effect under the law of this state as if performed by a notarial officer of this state.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">3</xhtml:span></xhtml:div><xhtml:p class="para">If the title of office and indication of authority to perform notarial acts in a foreign state appears in a digest of foreign law or in a list customarily used as a source for that information, the authority of an officer with that title to perform notarial acts is conclusively established.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">4</xhtml:span></xhtml:div><xhtml:p class="para">The signature and official stamp of an individual holding an office described in <xhtml:span class="iowaCodeRef">subsection 3</xhtml:span> are prima facie evidence that the signature is genuine and the individual holds the designated title.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">5</xhtml:span></xhtml:div><xhtml:p class="para">An apostille in the form prescribed by the Hague convention of October 5, 1961, and issued by a foreign state party to the convention conclusively establishes that the signature of the notarial officer is genuine and that the notarial officer holds the indicated office.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">6</xhtml:span></xhtml:div><xhtml:p class="para">A consular authentication issued by an individual designated by the United States department of state as a notarial officer for performing notarial acts overseas and attached to the record with respect to which the notarial act is performed conclusively establishes that the signature of the notarial officer is genuine and that the notarial officer holds the indicated office.</xhtml:p></xhtml:div><xhtml:div class="history"><xhtml:div class="historyItem"><xhtml:span class="identifier">9B.14A</xhtml:span><xhtml:span class="headnote">Notarial act performed for remotely located individual.</xhtml:span></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">1</xhtml:span></xhtml:div><xhtml:p class="para">As used in <xhtml:span class="iowaCodeRef">this section</xhtml:span> unless the context otherwise requires:</xhtml:p><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">a</xhtml:span></xhtml:div><xhtml:p class="para"><xhtml:span class="term">“Communication technology”</xhtml:span> means an electronic device or process that does all of the following:</xhtml:p><xhtml:div class="subpara"><xhtml:div class="heading"><xhtml:span class="identifier">1</xhtml:span></xhtml:div><xhtml:p class="para">Allows a notary public and a remotely located individual to communicate with each other simultaneously by sight and sound.</xhtml:p></xhtml:div><xhtml:div class="subpara"><xhtml:div class="heading"><xhtml:span class="identifier">2</xhtml:span></xhtml:div><xhtml:p class="para">When necessary and consistent with other applicable law, facilitates communication with a remotely located individual who has a vision, hearing, or speech impairment.</xhtml:p></xhtml:div></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">b</xhtml:span></xhtml:div><xhtml:p class="para"><xhtml:span class="term">“Foreign state”</xhtml:span> means a jurisdiction other than the United States, a state, or a federally recognized Indian tribe.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">c</xhtml:span></xhtml:div><xhtml:p class="para"><xhtml:span class="term">“Identity proofing”</xhtml:span> means a process or service by which a third person provides a notary public with a means to verify the identity of a remotely located individual by a review of personal information from public or private data sources.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">d</xhtml:span></xhtml:div><xhtml:p class="para"><xhtml:span class="term">“Outside the United States”</xhtml:span> means a location outside the geographic boundaries of the United States, Puerto Rico, the United States Virgin Islands, and any territory, insular possession, or other location subject to the jurisdiction of the United States.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">e</xhtml:span></xhtml:div><xhtml:p class="para"><xhtml:span class="term">“Remotely located individual”</xhtml:span> means an individual who is not in the physical presence of the notary public who performs a notarial act under <xhtml:span class="iowaCodeRef">subsection 3</xhtml:span>.</xhtml:p></xhtml:div></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">2</xhtml:span></xhtml:div><xhtml:p class="para">A remotely located individual may comply with <xhtml:span class="iowaCodeRef">section 9B.6</xhtml:span> by using communication technology to appear before a notary public.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">3</xhtml:span></xhtml:div><xhtml:p class="para">A notary public located in this state may perform a notarial act using communication technology for a remotely located individual if all of the following applies:</xhtml:p><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">a</xhtml:span></xhtml:div><xhtml:p class="para">The notary public has any of the following:</xhtml:p><xhtml:div class="subpara"><xhtml:div class="heading"><xhtml:span class="identifier">1</xhtml:span></xhtml:div><xhtml:p class="para">Personal knowledge under <xhtml:span class="iowaCodeRef">section 9B.7, subsection 1</xhtml:span>, of the identity of the individual.</xhtml:p></xhtml:div><xhtml:div class="subpara"><xhtml:div class="heading"><xhtml:span class="identifier">2</xhtml:span></xhtml:div><xhtml:p class="para">Satisfactory evidence of the identity of the remotely located individual by oath or affirmation from a credible witness appearing before the notary public under <xhtml:span class="iowaCodeRef">section 9B.7, subsection 2</xhtml:span>, or <xhtml:span class="iowaCodeRef">this section</xhtml:span>.</xhtml:p></xhtml:div><xhtml:div class="subpara"><xhtml:div class="heading"><xhtml:span class="identifier">3</xhtml:span></xhtml:div><xhtml:p class="para">Obtained satisfactory evidence of the identity of the remotely located individual by using at least two different types of identity proofing.</xhtml:p></xhtml:div></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">b</xhtml:span></xhtml:div><xhtml:p class="para">The notary public is able reasonably to confirm that a record before the notary public is the same record in which the remotely located individual made a statement or on which the individual executed a signature.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">c</xhtml:span></xhtml:div><xhtml:p class="para">The notary public, or a person acting on behalf of the notary public, creates an audio-visual recording of the performance of the notarial act.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">d</xhtml:span></xhtml:div><xhtml:p class="para">For a remotely located individual located outside the United States, all of the following applies:</xhtml:p><xhtml:div class="subpara"><xhtml:div class="heading"><xhtml:span class="identifier">1</xhtml:span></xhtml:div><xhtml:p class="para">The record complies with any of the following:</xhtml:p><xhtml:div class="subparaDiv"><xhtml:div class="heading"><xhtml:span class="identifier">a</xhtml:span></xhtml:div><xhtml:p class="para">Is to be filed with or relates to a matter before a public official or court, governmental entity, or other entity subject to the jurisdiction of the United States.</xhtml:p></xhtml:div><xhtml:div class="subparaDiv"><xhtml:div class="heading"><xhtml:span class="identifier">b</xhtml:span></xhtml:div><xhtml:p class="para">Involves property located in the territorial jurisdiction of the United States or involves a transaction substantially connected with the United States.</xhtml:p></xhtml:div></xhtml:div><xhtml:div class="subpara"><xhtml:div class="heading"><xhtml:span class="identifier">2</xhtml:span></xhtml:div><xhtml:p class="para">The act of making the statement or signing the record is not prohibited by the foreign state in which the remotely located individual is located.</xhtml:p></xhtml:div></xhtml:div></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">4</xhtml:span></xhtml:div><xhtml:p class="para">If a notarial act is performed under <xhtml:span class="iowaCodeRef">this section</xhtml:span>, the certificate of notarial act required by <xhtml:span class="iowaCodeRef">section 9B.15</xhtml:span> and the short-form certificate provided in <xhtml:span class="iowaCodeRef">section 9B.16</xhtml:span> must indicate that the notarial act was performed using communication technology.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">5</xhtml:span></xhtml:div><xhtml:p class="para">A short-form certificate provided in <xhtml:span class="iowaCodeRef">section 9B.16</xhtml:span> for a notarial act subject to <xhtml:span class="iowaCodeRef">this section</xhtml:span> is sufficient if any of the following applies:</xhtml:p><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">a</xhtml:span></xhtml:div><xhtml:p class="para">It complies with rules adopted under <xhtml:span class="iowaCodeRef">subsection 8</xhtml:span>, paragraph <xhtml:span class="i">“a”</xhtml:span>.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">b</xhtml:span></xhtml:div><xhtml:p class="para">It is in the form provided in <xhtml:span class="iowaCodeRef">section 9B.16</xhtml:span> and contains a statement substantially as follows: “This notarial act involved the use of communication technology”.</xhtml:p></xhtml:div></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">6</xhtml:span></xhtml:div><xhtml:p class="para">A notary public, a guardian, conservator, or agent of a notary public, or a personal representative of a deceased notary public shall retain the audio-visual recording created under <xhtml:span class="iowaCodeRef">subsection 3</xhtml:span>, paragraph <xhtml:span class="i">“c”</xhtml:span>, or cause the recording to be retained by a repository designated by or on behalf of the person required to retain the recording. Unless a different period is required by rule adopted under <xhtml:span class="iowaCodeRef">subsection 8</xhtml:span>, paragraph <xhtml:span class="i">“d”</xhtml:span>, the recording must be retained for a period of at least ten years after the recording is made.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">7</xhtml:span></xhtml:div><xhtml:p class="para">Before a notary public performs the notary public’s initial notarial act under <xhtml:span class="iowaCodeRef">this section</xhtml:span>, the notary public must notify the secretary of state that the notary public will be performing notarial acts with respect to remotely located individuals and identify the technologies the notary public intends to use. If the secretary of state has established standards under <xhtml:span class="iowaCodeRef">subsection 8</xhtml:span> and <xhtml:span class="iowaCodeRef">section 9B.27</xhtml:span> for approval of communication technology or identity proofing, all of the following apply:</xhtml:p><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">a</xhtml:span></xhtml:div><xhtml:p class="para">The communication technology the notary public intends to use must conform to the standards.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">b</xhtml:span></xhtml:div><xhtml:p class="para">If the notary public elects to use identity proofing under <xhtml:span class="iowaCodeRef">subsection 3</xhtml:span>, paragraph <xhtml:span class="i">“a”</xhtml:span>, the identity proofing must conform to the standards.</xhtml:p></xhtml:div></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">8</xhtml:span></xhtml:div><xhtml:p class="para">In addition to adopting rules under <xhtml:span class="iowaCodeRef">section 9B.27</xhtml:span>, the secretary of state may adopt rules under <xhtml:span class="iowaCodeRef">this section</xhtml:span> regarding performance of a notarial act. The rules may do all of the following:</xhtml:p><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">a</xhtml:span></xhtml:div><xhtml:p class="para">Prescribe the means and process, including training requirements, of performing a notarial act involving a remotely located individual using communication technology.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">b</xhtml:span></xhtml:div><xhtml:p class="para">Establish standards for communication technology and identity proofing.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">c</xhtml:span></xhtml:div><xhtml:p class="para">Establish requirements or procedures to approve providers of communication technology and the process of identity proofing.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">d</xhtml:span></xhtml:div><xhtml:p class="para">Establish standards and a period for the retention of an audio-visual recording created under <xhtml:span class="iowaCodeRef">subsection 3</xhtml:span>, paragraph <xhtml:span class="i">“c”</xhtml:span>.</xhtml:p></xhtml:div></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">9</xhtml:span></xhtml:div><xhtml:p class="para">Before adopting, amending, or repealing a rule governing performance of a notarial act with respect to a remotely located individual, the secretary of state must consider all of the following:</xhtml:p><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">a</xhtml:span></xhtml:div><xhtml:p class="para">The most recent standards regarding the performance of a notarial act with respect to a remotely located individual promulgated by national standard-setting organizations and the recommendations of the national association of secretaries of state.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">b</xhtml:span></xhtml:div><xhtml:p class="para">Standards, practices, and customs of other jurisdictions that have laws substantially similar to <xhtml:span class="iowaCodeRef">this section</xhtml:span>.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">c</xhtml:span></xhtml:div><xhtml:p class="para">The views of governmental officials and entities and other interested persons.</xhtml:p></xhtml:div></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">10</xhtml:span></xhtml:div><xhtml:p class="para">By allowing its communication technology or identity proofing to facilitate a notarial act for a remotely located individual or by providing storage of the audio-visual recording created under <xhtml:span class="iowaCodeRef">subsection 3</xhtml:span>, paragraph <xhtml:span class="i">“c”</xhtml:span>, the provider of the communication technology, identity proofing, or storage appoints the secretary of state as the provider’s agent for service of process in any civil action in this state related to the notarial act.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">11</xhtml:span></xhtml:div><xhtml:p class="para">A document purporting to convey or encumber real property that has been recorded by the county recorder for the jurisdiction in which the real property is located, although the document may not have been certified according to <xhtml:span class="iowaCodeRef">this section</xhtml:span>, shall give the same notice to third persons and be effective from the time of recording as if the document had been certified according to <xhtml:span class="iowaCodeRef">this section</xhtml:span>.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">12</xhtml:span></xhtml:div><xhtml:p class="para">A notary public who performs a notarial act under <xhtml:span class="iowaCodeRef">this section</xhtml:span> must be duly commissioned under and remain subject to the requirements of <xhtml:span class="iowaCodeRef">section 9B.21</xhtml:span> and all other applicable requirements of <xhtml:span class="iowaCodeRef">this chapter</xhtml:span>.</xhtml:p></xhtml:div><xhtml:div class="history"><xhtml:div class="historyItem"><xhtml:span class="iowaActsRef">2019 Acts, ch 44, §6, 11</xhtml:span>; <xhtml:span class="iowaActsRef">2023 Acts, ch 133, §1</xhtml:span></xhtml:div></xhtml:div><xhtml:div class="footnotes"/></slim:Section><slim:Section class="codeSection" id="sec9B.14B"><xhtml:div class="heading"><xhtml:span class="identifier">9B.14B</xhtml:span><xhtml:span class="headnote">Remote facilitator.</xhtml:span></xhtml:div><xhtml:p class="para">To be eligible to directly facilitate a notarial act using communication technology for a remotely located individual as provided in <xhtml:span class="iowaCodeRef">section 9B.14A</xhtml:span>, a remote facilitator must designate and continuously maintain in this state one of the following:</xhtml:p><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">1</xhtml:span></xhtml:div><xhtml:p class="para">Its usual place of business in this state.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">2</xhtml:span></xhtml:div><xhtml:p class="para">A registered office, which need not be a place of its activity in this state, or a registered agent for service of process, as required by the secretary of state. In addition, the remote facilitator shall file a foreign entity authority statement with the secretary of state. The statement shall describe the current street and mailing address of the registered office or the name and current street and mailing address of the remote facilitator’s registered agent.</xhtml:p></xhtml:div><xhtml:div class="history"><xhtml:div class="historyItem"><xhtml:span class="iowaActsRef">2019 Acts, ch 44, §7, 11</xhtml:span></xhtml:div></xhtml:div></slim:Section><slim:Section class="codeSection" id="sec9B.14C"><xhtml:div class="heading"><xhtml:span class="identifier">9B.14C</xhtml:span><xhtml:span class="headnote">Use of information.</xhtml:span></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">1</xhtml:span></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">a</xhtml:span></xhtml:div><xhtml:p class="para">As used in <xhtml:span class="iowaCodeRef">this section</xhtml:span>, unless the context otherwise requires, <xhtml:span class="term">“personally identifiable information”</xhtml:span> means information about or pertaining to an individual in a record which identifies the individual, and includes information that can be used to distinguish or trace an individual’s identity, either alone or when combined with other information.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">b</xhtml:span></xhtml:div><xhtml:p class="para"><xhtml:span class="term">“Personally identifiable information”</xhtml:span> includes but is not limited to a person’s photograph, social security number, driver’s license number, name, address, and telephone number.</xhtml:p></xhtml:div></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">2</xhtml:span></xhtml:div><xhtml:p class="para">A notary public or a remote facilitator shall not sell, offer for sale, use, or transfer to another person personally identifiable information collected in the course of performing a notarial act for any purpose other than as follows:</xhtml:p><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">a</xhtml:span></xhtml:div><xhtml:p class="para">As required to perform the notarial act.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">b</xhtml:span></xhtml:div><xhtml:p class="para">As necessary to effect, administer, enforce, service, or process the transaction for which the personally identifiable information was provided.</xhtml:p></xhtml:div></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">3</xhtml:span></xhtml:div><xhtml:p class="para"><xhtml:span class="iowaCodeRef">Subsection 2</xhtml:span> does not apply to the transfer of personally identifiable information to another person in any of the following circumstances:</xhtml:p><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">a</xhtml:span></xhtml:div><xhtml:p class="para">Upon written consent of the person for the use or release of that person’s personally identifiable information.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">b</xhtml:span></xhtml:div><xhtml:p class="para">In response to a court order, subpoena, or other legal process compelling disclosure.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">c</xhtml:span></xhtml:div><xhtml:p class="para">As part of a change in the form of a business entity’s organization or a change in the control of a business entity, including as a result of an acquisition, merger, or consolidation. However, any reorganized or successor business entity shall comply with the same requirements as provided in <xhtml:span class="iowaCodeRef">subsection 2</xhtml:span>.</xhtml:p></xhtml:div></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">4</xhtml:span></xhtml:div><xhtml:p class="para">A person who violates <xhtml:span class="iowaCodeRef">this section</xhtml:span> is guilty of a simple misdemeanor.</xhtml:p></xhtml:div><xhtml:div class="history"><xhtml:div class="historyItem"><xhtml:span class="iowaActsRef">2019 Acts, ch 44, §8, 11</xhtml:span></xhtml:div></xhtml:div></slim:Section><slim:Section class="codeSection" id="sec9B.15"><xhtml:div class="heading"><xhtml:span class="identifier">9B.15</xhtml:span><xhtml:span class="headnote">Certificate of notarial act.</xhtml:span></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">1</xhtml:span></xhtml:div><xhtml:p class="para">A notarial act must be evidenced by a certificate. The certificate must meet all of the following requirements:</xhtml:p><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">a</xhtml:span></xhtml:div><xhtml:p class="para">Be executed contemporaneously with the performance of the notarial act.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">b</xhtml:span></xhtml:div><xhtml:p class="para">Be signed and dated by the notarial officer and, if the notarial officer is a notary public, be signed in the same manner as on file with the secretary of state.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">c</xhtml:span></xhtml:div><xhtml:p class="para">Identify the jurisdiction in which the notarial act is performed.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">d</xhtml:span></xhtml:div><xhtml:p class="para">Contain the title of office of the notarial officer.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">e</xhtml:span></xhtml:div><xhtml:p class="para">If the notarial officer is a notary public, indicate the date of expiration, if any, of the notarial officer’s commission.</xhtml:p></xhtml:div></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">2</xhtml:span></xhtml:div><xhtml:p class="para">If a notarial act regarding a tangible record is performed by a notary public, an official stamp must be affixed to or embossed on the certificate. If a notarial act is performed regarding a tangible record by a notarial officer other than a notary public and the certificate contains the information specified in <xhtml:span class="iowaCodeRef">subsection 1</xhtml:span>, paragraphs <xhtml:span class="i">“b”</xhtml:span>, <xhtml:span class="i">“c”</xhtml:span>, and <xhtml:span class="i">“d”</xhtml:span>, an official stamp may be affixed to or embossed on the certificate. If a notarial act regarding an electronic record is performed by a notarial officer and the certificate contains the information specified in <xhtml:span class="iowaCodeRef">subsection 1</xhtml:span>, paragraphs <xhtml:span class="i">“b”</xhtml:span>, <xhtml:span class="i">“c”</xhtml:span>, and <xhtml:span class="i">“d”</xhtml:span>, an official stamp may be attached to or logically associated with the certificate.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">3</xhtml:span></xhtml:div><xhtml:p class="para">A certificate of a notarial act is sufficient if it meets the requirements of <xhtml:span class="iowaCodeRef">subsections 1 and 2</xhtml:span> and any of the following apply:</xhtml:p><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">a</xhtml:span></xhtml:div><xhtml:p class="para">It is in a short form set forth in <xhtml:span class="iowaCodeRef">section 9B.16</xhtml:span>.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">b</xhtml:span></xhtml:div><xhtml:p class="para">It is in a form otherwise permitted by the law of this state.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">c</xhtml:span></xhtml:div><xhtml:p class="para">It is in a form permitted by the law applicable in the jurisdiction in which the notarial act is performed.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">d</xhtml:span></xhtml:div><xhtml:p class="para">It sets forth the actions of the notarial officer and the actions are sufficient to meet the requirements of the notarial act as provided in <xhtml:span class="iowaCodeRef">sections 9B.5</xhtml:span>, <xhtml:span class="iowaCodeRef">9B.6</xhtml:span>, and <xhtml:span class="iowaCodeRef">9B.7</xhtml:span>, or a law of this state other than <xhtml:span class="iowaCodeRef">this chapter</xhtml:span>.</xhtml:p></xhtml:div></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">4</xhtml:span></xhtml:div><xhtml:p class="para">By executing a certificate of a notarial act, a notarial officer certifies that the notarial officer has complied with the requirements and made the determinations specified in <xhtml:span class="iowaCodeRef">sections 9B.4</xhtml:span>, <xhtml:span class="iowaCodeRef">9B.5</xhtml:span>, and <xhtml:span class="iowaCodeRef">9B.6</xhtml:span>.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">5</xhtml:span></xhtml:div><xhtml:p class="para">A notarial officer shall not affix the notarial officer’s signature to, or logically associate it with, a certificate until the notarial act has been performed.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">6</xhtml:span></xhtml:div><xhtml:p class="para">If a notarial act is performed regarding a tangible record, a certificate must be part of, or securely attached to, the record. If a notarial act is performed regarding an electronic record, the certificate must be affixed to, or logically associated with, the electronic record. If the secretary of state has established standards pursuant to <xhtml:span class="iowaCodeRef">section 9B.27</xhtml:span> for attaching, affixing, or logically associating the certificate, the A person shall not require a notary public to perform a notarial act with respect to an electronic record with a technology that the notary public has not selected.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">2</xhtml:span></xhtml:div><xhtml:p class="para">Before a notary public performs the notary public’s initial notarial act with respect to an electronic record, a notary public shall notify the secretary of state that the notary public will be performing notarial acts with respect to electronic records and identify the technology the notary public intends to use. If the secretary of state has established standards for approval of technology pursuant to <xhtml:span class="iowaCodeRef">section 9B.27</xhtml:span>, the technology must conform to the standards. The applicant shall comply with and provide the information required by rules established by the secretary of state and pay an application fee of thirty dollars to the secretary of state. A person appointed as a notary public under <xhtml:span class="iowaCodeRef">subsection 4</xhtml:span> is not subject to the fee imposed by <xhtml:span class="iowaCodeRef">this subsection</xhtml:span>. </xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">2</xhtml:span></xhtml:div><xhtml:p class="para">An applicant for a commission as a notary public shall meet all of the following qualifications:</xhtml:p><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">a</xhtml:span></xhtml:div><xhtml:p class="para">Be at least eighteen years of age.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">b</xhtml:span></xhtml:div><xhtml:p class="para">Be a citizen or permanent legal resident of the United States.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">c</xhtml:span></xhtml:div><xhtml:p class="para">Be a resident of or have a place of employment or practice in this state.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">d</xhtml:span></xhtml:div><xhtml:p class="para">Be able to read and write English.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">e</xhtml:span></xhtml:div><xhtml:p class="para">Not be disqualified to receive a commission under <xhtml:span class="iowaCodeRef">section 9B.23</xhtml:span>.</xhtml:p></xhtml:div></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">3</xhtml:span></xhtml:div><xhtml:p class="para">Before issuance of a commission as a notary public, an applicant for the commission shall execute an oath of office and submit it to the secretary of state.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">4</xhtml:span></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">a</xhtml:span></xhtml:div><xhtml:p class="para">The secretary of state shall appoint members of the general assembly as notaries public, upon request, and may revoke an appointment for cause.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">b</xhtml:span></xhtml:div><xhtml:p class="para">The secretary of state may appoint one or more employees of a state agency as a notary public to perform notarial acts associated with their positions, pursuant to conditions established by the secretary of state. As used in this paragraph, <xhtml:span class="term">“state agency”</xhtml:span> means any executive, judicial, or legislative department, commission, board, institution, division, bureau, office, agency, or other entity of state government.</xhtml:p></xhtml:div></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">5</xhtml:span></xhtml:div><xhtml:p class="para">The secretary of state may appoint as a notary public a resident of a state bordering Iowa if that person’s place of work or business is within the state of Iowa. If a notary public who is a resident of a state bordering Iowa ceases to work or maintain a place of business in Iowa, the notary commission expires. </xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">6</xhtml:span></xhtml:div><xhtml:p class="para">On compliance with <xhtml:span class="iowaCodeRef">this section</xhtml:span>, the secretary of state shall issue a commission as a notary public to an applicant for a term of three years. The term of a notarial officer who is a resident of a state bordering Iowa and whose place of work or business is in Iowa is one year. The term of a notary public who is a member of the general assembly is the member’s term of office. The term of a notary public who is an employee of a state agency designated to receive an appointment as provided in <xhtml:span class="iowaCodeRef">subsection 4</xhtml:span> shall terminate at the end of employment.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">7</xhtml:span></xhtml:div><xhtml:p class="para">A commission to act as a notary public authorizes the notary public to perform notarial acts. The commission does not provide the notary public any immunity or benefit conferred by law of this state on public officials or employees.</xhtml:p></xhtml:div><xhtml:div class="history"><xhtml:div class="identifier">2</xhtml:span></xhtml:div><xhtml:p class="para">For furnishing an uncertified copy of any document, instrument, or paper relating to a notary public, one dollar per as notary public for any act or omission that demonstrates the individual lacks the honesty, integrity, competence, or reliability to act as a notary public, including any of the following acts or omissions:</xhtml:p><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">a</xhtml:span></xhtml:div><xhtml:p class="para">A failure to comply with <xhtml:span class="iowaCodeRef">this chapter</xhtml:span>.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">b</xhtml:span></xhtml:div><xhtml:p class="para">A fraudulent, dishonest, or deceitful misstatement or omission in the application for a commission as a notary public submitted to the secretary of state.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">c</xhtml:span></xhtml:div><xhtml:p class="para">A conviction of the applicant or notary public of any felony or a crime involving fraud, dishonesty, or deceit.</xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">d</xhtml:span></xhtml:div><xhtml:p class="para">A finding against, or admission of liability by, the applicant or notary public in any legal proceeding or disciplinary action based on the applicant’s or notary public’s fraud, dishonesty, or class="heading"><xhtml:span class="identifier">2</xhtml:span></xhtml:div><xhtml:p class="para">A notary public shall not engage in false or deceptive advertising.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">3</xhtml:span></xhtml:div><xhtml:p class="para">A notary public, other than an attorney licensed to practice law in this state, shall not use the term “notario” or “notario publico”.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">4</xhtml:span></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">a</xhtml:span></xhtml:div><xhtml:p class="para">A notary public, other than an attorney licensed to practice law in this state, shall not advertise or represent that the notary public may assist persons in drafting legal records, give legal advice, or otherwise practice law. If a notary public who is not an attorney licensed to practice law in this state in any manner advertises or represents that the notary public offers notarial services, whether orally or in a record, including broadcast media, print media, or the internet, the notary public shall include the following statement, or an alternate statement authorized or required by the secretary of state in the advertisement or representation, prominently and in each language used in the advertisement or representation:<xhtml:div class="form"><xhtml:span class="em-space"/>I am not an attorney licensed to practice law in this state. I am not allowed to draft legal records, give advice on legal matters, including immigration, or charge a fee for those activities.</xhtml:div></xhtml:p></xhtml:div><xhtml:div class="letteredPara"><xhtml:div class="heading"><xhtml:span class="identifier">b</xhtml:span></xhtml:div><xhtml:p class="para">If the form of advertisement or representation is not broadcast media, print media, or the internet and does not permit inclusion of the statement required by <xhtml:span class="iowaCodeRef">this subsection</xhtml:span> because of size, it must be displayed prominently or provided at the place of performance of the notarial act before the notarial act is performed.</xhtml:p></xhtml:div></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">5</xhtml:span></xhtml:div><xhtml:p class="para">Except as otherwise allowed by law, a notary public shall not withhold access to or possession of an original record provided by a person that seeks performance of a notarial act by the notary public.</xhtml:p></xhtml:div><xhtml:div class="history"><xhtml:div class="historyItem"><xhtml:span class="iowaActsRef">2012 Acts, ch 1050, §24, 60</xhtml:span></xhtml:div></xhtml:div></slim:Section><slim:Section class="codeSection" id="sec9B.26"><xhtml:div class="heading"><xhtml:span class="identifier">9B.26</xhtml:span><xhtml:span class="headnote">Validity of notarial acts.</xhtml:span></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">1</xhtml:span></xhtml:div><xhtml:p class="para">Except as otherwise provided in <xhtml:span class="iowaCodeRef">section 9B.4, subsection 2</xhtml:span>, the failure of a notarial officer to perform a duty or meet a requirement specified in <xhtml:span class="iowaCodeRef">this chapter</xhtml:span> does not invalidate a notarial act performed by the notarial officer. The validity of a notarial act under <xhtml:span class="iowaCodeRef">this chapter</xhtml:span> does not prevent an aggrieved person from seeking to invalidate the record or transaction that is the subject of the notarial act or from seeking other remedies based on law of this state other than <xhtml:span class="iowaCodeRef">this chapter</xhtml:span> or law of the United States. <xhtml:span class="iowaCodeRef">This section</xhtml:span> does not validate a purported notarial act performed by an individual who does not have the authority to perform notarial acts.</xhtml:p></xhtml:div><xhtml:div class="subsection"><xhtml:div class="heading"><xhtml:span class="identifier">2</xhtml:span></xhtml:div><xhtml:p class="para">The validity of a notarial act shall not be affected or impaired by the fact that the notarial officer performing the notarial act is an officer, director, or shareholder of a corporation that may have a beneficial interest or other interest in the subject matter of the notarial act. </xhtml:p></xhtml:div><xhtml:div class="history"><xhtml:div class="historyItem"><xhtml:span class="iowaActsRef">2012 Acts, ch 1050, §25, 60</xhtml:span></xhtml:div></xhtml:div></slim:Section><slim:Section class="codeSection" id="sec9B.27"><xhtml:div class="heading"><xhtml:span class="identifier">9B.27</xhtml:span><xhtml:span class="headnote">Rules.</xhtml:span></xhtml:div><xhtml:p class="para">The secretary of state may adopt rules to administer <xhtml:span class="iowaCodeRef">this chapter</xhtml:span>. A notary public who applies to renew a commission as a notary public on or after January 1, 2013, is subject to and shall comply with <xhtml:span class="iowaCodeRef">this chapter</xhtml:span>.
